2. Definitions

"Services" refers to all offerings provided by CodersArth including, but not limited to, software development, web development, mobile applications, SEO, digital marketing, data analytics, consulting, and maintenance services. "Client" refers to any individual or entity that engages CodersArth for any of the above services under a formal or informal agreement.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under applicable Indian laws to use our services. By using our services, you represent and warrant that you meet these eligibility requirements and that all information provided by you is accurate, complete, and current.

4. Scope of Services

CodersArth provides IT and digital services strictly as per mutually agreed proposals, statements of work, or contractual agreements. Any changes to the agreed scope must be documented and authorised in writing by both parties. Additional requirements introduced after project commencement may attract supplementary charges agreed upon before execution.

5. User Responsibilities

Users agree not to misuse services, violate applicable laws, infringe intellectual property rights, or engage in unauthorised activities. Clients are responsible for providing accurate project requirements, timely feedback, and necessary access credentials. Failure to meet these obligations may result in project delays for which CodersArth bears no responsibility.

6. Payment Terms

All payments made for services are non-refundable unless explicitly stated otherwise in writing. Standard payment terms follow a milestone-based structure agreed in the proposal. Delayed or failed payments may result in service suspension or termination. CodersArth reserves the right to pause active projects until outstanding dues are cleared.

7. Intellectual Property

All content, software, documentation, codebase, and intellectual property developed or provided by CodersArth remain the exclusive property of CodersArth unless ownership is explicitly transferred via a signed written agreement. Clients receive a non-exclusive licence to use deliverables solely for the specified purpose outlined in the engagement.

8. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary, business, technical, and sensitive information exchanged during the engagement. This obligation survives the termination of the service agreement. NDA provisions may be formalised upon request for projects involving sensitive or high-value data.

9. Disclaimer

All services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. CodersArth does not guarantee specific business results, revenue outcomes, or search rankings from services rendered. Clients are responsible for validating all deliverables against their stated requirements before final acceptance.

10. Limitation of Liability

CodersArth shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including loss of data, revenue, or business opportunities. Our total liability in any circumstance shall not exceed the total amount paid by the client for the specific service in question.

11. Governing Law

These Terms & Conditions shall be governed and interpreted in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of competent courts in Lucknow, Uttar Pradesh. Both parties commit to first attempting good-faith resolution through mutual discussion before initiating any legal proceedings.
